These Terms of Service govern the use of Jilian Overseas Warehouse Management System and related services provided by Shanghai Huanchuangyu Technology Co., Ltd. By using the service, you agree to these terms and applicable contractual documents.

1. Service Scope

Services may include account setup, warehouse/order workflows, Amazon SP-API integration, deployment, and support. Exact deliverables are defined in signed agreements and technical scopes.

2. Amazon SP-API Compliance

  • The system uses Amazon SP-API for order and fulfillment synchronization;
  • Customers must maintain valid Amazon authorization and lawful access rights;
  • Both parties must comply with Amazon Developer Program policies and data protection requirements.

3. Account and Credential Security

Customers are responsible for protecting usernames, passwords, Amazon API keys, and tokens. Risks caused by customer credential leakage or mismanagement are the customer’s responsibility.

4. Data Responsibility (Including PII)

Customers are responsible for data legality, source authorization, and accuracy. We process data within agreed scope and implement reasonable technical and organizational safeguards.

5. Prohibited Activities

  • Unauthorized access, abuse, attacks, or attempts to bypass security controls;
  • Illegal, infringing, or non-compliant data processing activities;
  • Using Amazon API data for unrelated advertising, marketing resale, or trading.

6. Availability and Changes

We use commercially reasonable efforts to maintain service availability. Planned maintenance, upgrades, Amazon policy or API changes, and force majeure events may affect service continuity.

7. Amazon Ecosystem Dependencies

Service outcomes may depend on Amazon platform and Amazon SP-API availability or policy changes. We will assist with mitigation and adaptation when such changes occur.

8. Intellectual Property

Software, documentation, and technical components are owned by us or our licensors. Customers receive a limited, non-transferable use right within contractual scope.

9. Confidentiality

Both parties must protect confidential information, technical materials, and business data disclosed during cooperation, unless disclosure is legally required.

10. Suspension, Termination, and Data Handling

Upon termination, account deactivation, data export, and deletion procedures follow contractual terms. Customers should complete required migration within agreed timelines.

11. Fees and Refunds

Pricing, billing, and payment terms are contract-based. Refunds are handled per contract; where critical delivery failures are caused by us, remediation, credits, or refunds are handled under agreed clauses.

12. Updates and Dispute Handling

13. Compliance and Data Protection Summary

  • The system processes Amazon order, fulfillment, and related PII data only within customer-approved scope;
  • Customers are responsible for maintaining valid Amazon authorization and protecting Amazon API credentials and tokens;
  • Data access follows least-privilege principles with necessary permission and audit records retained;
  • Both parties must fulfill contractual confidentiality and security obligations, and unauthorized scraping, resale, or unrelated marketing use is prohibited;
  • Upon service termination, data export, deletion, or anonymization is handled according to contract terms.
